Terms of Service for CoinFello

These Terms of Service ("Terms") apply to your access to and use of CoinFello, an AI agent provided by HyperPlay Labs LLC dba CoinFello ("CoinFello," "we," "us," or "our"), including any associated software, websites, applications, and services (collectively, the "Services"). CoinFello is based in Fort Worth, Texas, at 600 W 6th Street Fourth Floor #1079, Fort Worth, TX 76102. By accessing or using the Services, you agree to be bound by these Terms, which form a legally binding agreement between you and us. If you do not agree to these Terms, you must not access or use the Services.

Our Privacy Policy, available at https://coinfello.com/privacy-policy, explains how we collect, use, and disclose information about you. Although it does not form part of these Terms, it is an important document that you should read carefully.

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on our website or through the Services. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.

Who We Are

CoinFello is an AI agent designed for research on the cryptocurrency ecosystem, execution of smart contracts, and automation of on-chain actions that occur asynchronously. The Services can be self-hosted by you or used on hosted infrastructure based on your preferences. CoinFello connects to your cryptocurrency wallet, but you always retain sole control and custody of your private keys and funds. We request delegations from your wallet to enable the AI agent to perform smart contract interactions on your behalf, but we do not store your private keys, hold your funds, or act as a custodian. We cannot access your funds at any time.

CoinFello is a software provider only. We are not a bank, broker-dealer, exchange, money transmitter, investment adviser, fiduciary, or financial institution. We do not provide financial, investment, tax, or legal advice.

CoinFello does not act as your agent, fiduciary, broker, adviser, or trustee. No fiduciary relationship is created by your use of the Services.

The Services are currently in an early alpha state and may contain bugs or errors. You acknowledge that using the Services involves inherent risks, including potential loss of funds due to software issues, blockchain network failures, or other factors. It is your sole responsibility to review and approve any transactions proposed by the AI agent before execution. We are not liable for any losses resulting from your use of the Services to the maximum extent permitted by applicable law, and you assume full responsibility for all risks associated with using an AI agent for cryptocurrency transactions.

You acknowledge that the Services rely on experimental technologies including artificial intelligence and blockchain networks, and may contain bugs, vulnerabilities, or unintended behaviors.

The Services may interact with third-party blockchain protocols, smart contracts, wallets, and decentralized applications that we do not control. We are not responsible for the performance, security, or legality of any third-party protocol.

We do not guarantee transaction execution, confirmation times, smart contract availability, blockchain network uptime, or compatibility with any wallet, protocol, or token.

We may modify, suspend, or discontinue any part of the Services at any time without liability.

Eligibility and Registration

To use the Services, you must:

Be at least 18 years old or the age of majority in your jurisdiction, whichever is greater.
Not be located in, or a resident or national of, any prohibited jurisdiction, including any country subject to comprehensive sanctions by the Office of Foreign Assets Control (OFAC) of the U.S. Department of the Treasury (e.g., Cuba, Iran, North Korea, Syria, and certain regions of Ukraine). Use of the Services in such jurisdictions is strictly prohibited.
Provide accurate and complete information if you create an account.
Comply with all applicable laws, including U.S. export controls and sanctions.
Represent and warrant that you are not on any U.S. government restricted party list and are not acting on behalf of any person or entity located in a prohibited jurisdiction.

You may need to register for an account to access certain features of the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. If you create an account on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

Using Our Services

Subject to your compliance with these Terms, you may access and use the Services for their intended purposes. The Services enable you to:

Conduct research on the cryptocurrency ecosystem.
Execute smart contracts.
Automate asynchronous on-chain actions.

The Services do not constitute financial, investment, trading, tax, or legal advice. All Outputs are provided for informational purposes only.

You may self-host the Services or use our hosted infrastructure. In either case, you retain full control over your wallet and funds. The AI agent may request delegations to interact with smart contracts, but all transactions require your explicit approval.

You must not use the Services for any illegal, harmful, or abusive activity. Prohibited uses include, but are not limited to:

Violating any applicable laws, regulations, or third-party rights, including intellectual property rights.
Engaging in fraudulent activities, money laundering, or financing of terrorism.
Using the Services to facilitate unauthorized access to blockchain networks or smart contracts.
Interfering with, disrupting, or overburdening the Services or any related systems.
Reverse engineering, decompiling, or attempting to discover the source code of the Services (except as permitted by applicable law).
Using automated tools to extract data or outputs from the Services without permission.
Representing AI-generated outputs as human-generated or factual without verification.
Using the Services in prohibited jurisdictions or to evade sanctions.
Using the Services to develop, test, or deploy competing AI agents or blockchain automation tools.
Using the Services in connection with securities offerings or regulated financial products without ensuring compliance with applicable laws.
Circumventing any rate limits, access controls, or technical safeguards.

We may monitor your use of the Services to ensure compliance with these Terms and may suspend or terminate access if we detect violations.

User Responsibilities

You are solely responsible for:

Maintaining the security and confidentiality of your private keys, seed phrases, wallet credentials, and any delegations granted to the AI agent.
Ensuring that your device, network, and environment are secure and free from malware or unauthorized access.
Thoroughly reviewing and understanding all transaction details, smart contract interactions, delegations, and Outputs proposed by the AI agent before approving them in your wallet.
Complying with all applicable laws, regulations, and sanctions in your jurisdiction, including those related to cryptocurrencies, anti-money laundering, and export controls.
Backing up your wallet, data, and any relevant information to prevent loss.
Verifying the accuracy and safety of any on-chain actions or research conducted via the Services.

Failure to fulfill these responsibilities may result in loss of funds or other harms, for which we bear no liability.

Content and Outputs

You may provide inputs to the Services ("Input") and receive outputs, such as research insights, transaction proposals, or automation suggestions ("Output"). Input and Output are collectively "Content."

You are solely responsible for your Content, including ensuring it complies with applicable laws and does not infringe third-party rights. You represent that you have all necessary rights to provide Input.

As between you and us, you retain ownership of your Input and Output, subject to applicable law. We assign to you any rights we may have in the Output.

Due to the nature of AI and blockchain technology, Outputs may not be unique, accurate, or error-free. Similar Inputs from other users may produce similar Outputs. We make no representations about the accuracy, completeness, or reliability of Outputs. You must independently verify all Outputs, especially before approving any transactions. Do not rely on Outputs for critical financial, legal, or other decisions.

We may use anonymized and aggregated Content to improve the Services, comply with laws, or enforce these Terms. We will not use your identifiable Content to train generalized AI models without your consent.

Intellectual Property

We or our licensors own all rights, title, and interest in the Services, including software, algorithms, and related intellectual property. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to access and use the Services for your personal or internal business purposes.

You may not copy, modify, distribute, sell, or create derivative works from the Services without our prior written consent. If you provide feedback or suggestions about the Services, we may use them without restriction or compensation to you.

Certain components of the Services may incorporate open-source software subject to separate license terms. In the event of a conflict between those licenses and these Terms, the applicable open-source license will govern solely with respect to that component.

Paid Subscriptions and Billing

Certain features may require a paid subscription. Pricing details are available on our website. You must provide accurate billing information and authorize us to charge your payment method for recurring fees.

Subscriptions renew automatically unless canceled. You may cancel at any time, but payments are non-refundable except as required by law. We may change prices with 30 days' notice.

If subscription fees are paid using cryptocurrency or digital assets, you acknowledge that such payments are irreversible once confirmed on-chain.

Termination and Suspension

You may stop using the Services at any time. We may suspend or terminate your access if:

You breach these Terms.
Your use poses a risk to us, other users, or third parties.
We are required to do so by law.

Upon termination, your license to use the Services ends, and you must cease all use. We may delete your data after a reasonable period.

Sections relating to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution shall survive termination of these Terms.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

GIVEN THE ALPHA STAGE OF THE SERVICES AND THE VOLATILE NATURE OF CRYPTOCURRENCIES AND BLOCKCHAIN TECHNOLOGY, USE OF THE SERVICES INVOLVES SIGNIFICANT RISKS, INCLUDING LOSS OF FUNDS. YOU ACKNOWLEDGE THAT WE ARE NOT A CUSTODIAN OF YOUR ASSETS AND CANNOT ACCESS OR RECOVER LOST FUNDS. YOU USE THE SERVICES AT YOUR OWN RISK AND SHOULD NOT RELY ON OUTPUTS WITHOUT INDEPENDENT VERIFICATION. AI-GENERATED OUTPUTS MAY CONTAIN ERRORS, OMISSIONS, OUTDATED INFORMATION, OR FABRICATED CONTENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR AFFILIATES, LICENSORS, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR CRYPTOCURRENCY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

YOU ACKNOWLEDGE THAT USING AI AGENTS FOR CRYPTOCURRENCY TRANSACTIONS AND ON-CHAIN ACTIONS CARRIES INHERENT FINANCIAL RISKS, INCLUDING BUT NOT LIMITED TO LOSSES FROM SOFTWARE BUGS, ERRONEOUS AI RECOMMENDATIONS OR OUTPUTS, INCORRECT TRANSACTION PARAMETERS, SMART CONTRACT VULNERABILITIES, BLOCKCHAIN FORKS OR FAILURES, MARKET VOLATILITY, OR USER ERROR IN REVIEWING OR APPROVING ACTIONS. WE ARE NOT LIABLE FOR ANY SUCH LOSSES TO THE MAXIMUM EXTENT PERMITTED BY LAW.

WE ARE NOT LIABLE FOR DELAYS OR FAILURES RESULTING FROM CAUSES BEYOND OUR REASONABLE CONTROL, INCLUDING BLOCKCHAIN NETWORK FAILURES, PROTOCOL UPGRADES, FORKS, GOVERNMENTAL ACTIONS, INTERNET DISRUPTIONS, OR FORCE MAJEURE EVENTS.

OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THESE MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless us, our affiliates, officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including attorneys' fees) arising from or related to your use of the Services, your Content, or any violation of these Terms or applicable laws.

Dispute Resolution

YOU AND COINFELLO WAIVE ANY RIGHT TO A JURY TRIAL. Any disputes arising from these Terms or the Services will be resolved through binding arbitration in Fort Worth, Texas, under the rules of the American Arbitration Association. You waive any right to participate in class actions or class arbitrations.

Before arbitration, we agree to attempt informal resolution for 60 days. The prevailing party in any dispute may recover attorneys' fees.

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles.

Miscellaneous

These Terms constitute the entire agreement between you and us. If any provision is unenforceable, the remaining provisions remain in effect.

You acknowledge that you have not relied on any representations or warranties other than those expressly stated in these Terms.

We may assign these Terms without your consent. You may not assign them without our written consent.

Failure by us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
